Vyntox is a technology product providing algorithmic market analysis for informational purposes only. It does not constitute investment advice, a financial recommendation, or any regulated financial service. All trading decisions are made solely by the subscriber. Nuvra Limited holds no financial services licence from the SCA, FSRA, DFSA, or any equivalent regulatory authority.

1. Overview

1.1  This Subscription Policy governs the terms under which Nuvra Limited (“Nuvra”, “we”, “us”, “our”), incorporated in Masdar City Free Zone, Abu Dhabi, United Arab Emirates, provides access to Vyntox (“the Service”) — an algorithmic market analysis indicator delivered through the TradingView platform.

1.2  By completing a subscription purchase, you (“Subscriber”, “User”, “you”) confirm that you have read, understood, and agree to be bound by this Subscription Policy in its entirety, together with the Vyntox Terms of Service and Privacy Policy, which are incorporated herein by reference.

1.3  The Service is a technology product providing algorithmic analytical data only. It does not constitute a financial service, investment advisory service, or any regulated financial activity under UAE law or the laws of any other jurisdiction. Nothing in this Subscription Policy creates or implies any such relationship.

2. Subscription Plans

2.1  Vyntox offers subscription access on the following basis: Plans, pricing, and features are as displayed on the Vyntox website and TradingView product page at the time of purchase. Nuvra reserves the right to introduce, modify, or discontinue plans with reasonable notice to active subscribers.

2.2  All subscription plans provide access to the Vyntox indicator exclusively through the TradingView platform. Subscribers must hold an active TradingView account in good standing to access and use the Service. Nuvra bears no responsibility for any interruption, modification, or discontinuation of the TradingView platform or its services.

2.3  Subscription access is granted to the individual Subscriber only. Access credentials, TradingView invite links, and licence keys are strictly non-transferable and may not be shared, resold, sublicensed, or distributed to any third party under any circumstances.

2.4  Nuvra reserves the right to verify that Subscriber usage is consistent with single-user access and to terminate subscriptions where unauthorised sharing or distribution is detected, without refund.

3. Billing and Payment

3.1  Billing Cycle. Subscriptions are billed in advance on a recurring basis corresponding to the plan selected — monthly or annually — commencing on the date of initial purchase (“Billing Date”). Billing continues automatically at the applicable renewal rate until the subscription is cancelled in accordance with Section 5.

3.2  Payment Methods. Nuvra accepts payment via the methods displayed at checkout. All transactions are processed by Nuvra’s authorised payment processor. Nuvra does not store, access, or retain your full payment card details. Payment processing is subject to the terms and privacy policy of the applicable payment processor.

3.3  Currency. All subscription fees are charged in the currency displayed at checkout. Where currency conversion applies, the exchange rate and any associated fees are determined by your payment provider or card issuer. Nuvra bears no liability for currency conversion costs or fluctuations.

3.4  Failed Payments. If a scheduled payment fails, Nuvra will attempt to process the payment again within a reasonable period. If payment remains unsuccessful, access to the Service may be suspended until outstanding amounts are settled. Nuvra reserves the right to terminate the subscription if payment failure persists beyond seven (7) days.

3.5  Price Changes. Nuvra reserves the right to modify subscription pricing at any time. Where a price change affects an active subscription, Nuvra will provide no less than fourteen (14) days’ written notice to the Subscriber’s registered email address prior to the next billing cycle. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept the revised pricing, you may cancel your subscription in accordance with Section 5 before the new price takes effect.

3.6  Taxes. Subscription fees displayed are exclusive of any applicable value-added tax (VAT), sales tax, withholding tax, or other taxes or levies imposed by the laws of your jurisdiction. Where Nuvra is required to collect such taxes, they will be added to the applicable invoice. You are solely responsible for compliance with your local tax obligations arising from your subscription.

4. Free Trials and Promotional Access

4.1  Nuvra may, at its sole discretion, offer free trial periods or promotional access to the Service. The duration and conditions of any trial will be communicated at the time of the offer.

4.2  At the conclusion of a free trial, your subscription will automatically convert to a paid plan at the applicable rate unless you cancel before the trial period expires. You authorise Nuvra to charge your payment method accordingly.

4.3  Free trials are limited to one per individual user and one per household or organisation. Nuvra reserves the right to revoke trial access where abuse or circumvention of this limitation is detected.

4.4  Promotional pricing, discount codes, and introductory rates apply only for the period stated and revert to standard pricing upon expiry. Promotions cannot be combined unless expressly stated.

5. Cancellation

5.1  How to Cancel. Subscribers may cancel their subscription at any time through their TradingView account settings, the Vyntox subscriber portal, or by submitting a written cancellation request to support@vyntox.com.

5.2  Effect of Cancellation. Upon cancellation, your subscription will remain active and accessible until the end of the current paid billing period. Access to the Service will be revoked at the conclusion of that period. No partial-period refunds are issued for cancellations made mid-cycle, except as provided in Section 6.

5.3  No Obligation. There is no minimum subscription commitment unless expressly stated at the time of purchase in connection with a specific promotional plan. Subscribers on standard plans may cancel at any time without penalty.

5.4  Data Following Cancellation. Following the termination of your subscription, Nuvra will handle your personal data in accordance with the Vyntox Privacy Policy.

6. Refund Policy

6.1  Seven-Day Cancellation Refund. Any Subscriber who cancels their subscription within seven (7) days of their purchase date — whether an initial purchase or a renewal — is entitled to a full refund of the fee paid for that billing cycle, provided that:

(a)  The cancellation and refund request is submitted to hey@nuvra.agency within seven (7) calendar days of the relevant payment date;

(b)  The request is made in good faith and is not part of a pattern of repeated purchase-and-refund behaviour that Nuvra determines, acting reasonably, constitutes abuse of this policy; and

(c)  The Subscriber’s account has not been suspended or terminated for breach of these terms prior to the refund request.

6.2  Refund Processing. Approved refunds will be processed to the original payment method within ten (10) business days of approval. Processing times may vary depending on your payment provider. Nuvra bears no responsibility for delays attributable to banks or payment processors.

6.3  Technical Failures. Where a verified technical failure attributable to Nuvra results in the Service being materially inaccessible for a continuous period exceeding forty-eight (48) hours during a paid billing cycle, affected Subscribers may be entitled to a pro-rata credit applied to their next billing cycle. Cash refunds in such circumstances are at Nuvra’s discretion.

6.4  Non-Refundable Circumstances. Outside the seven-day cancellation window in clause 6.1, no refund will be issued on the basis of:

(a)  Dissatisfaction with market outcomes or trading results arising from use of the Service, given that Vyntox does not provide investment advice and trading decisions remain solely the Subscriber’s responsibility;

(b)  Claimed unawareness of the nature of the Service, given the prominent disclosures provided at the point of purchase and within the Service itself;

(c)  Failure to use the Service during a billing period; or

(d)  Violation of these terms or the Vyntox Terms of Service resulting in account termination.

6.5  Consumer Rights. Nothing in this Section excludes or limits any rights you may have under mandatory applicable consumer protection legislation in your jurisdiction that cannot be contractually waived.

7. Acceptable Use

7.1  Access to the Service is granted for lawful personal or professional analytical use only. Subscribers must not:

(a)  Reverse engineer, decompile, copy, reproduce, or extract the underlying algorithmic logic of the Vyntox indicator;

(b)  Use the Service to develop, train, or inform any competing product or service;

(c)  Redistribute, resell, or commercially exploit access to the Service without Nuvra’s prior written consent;

(d)  Misrepresent the outputs of the Service as personalised investment advice when communicating with third parties; or

(e)  Use the Service in any manner that violates applicable laws, including securities laws, in your jurisdiction.

7.2  Nuvra reserves the right to suspend or permanently terminate access without refund where a Subscriber is found to be in material breach of this Section.

8. Intellectual Property

8.1  All intellectual property rights in and to the Vyntox indicator, its algorithmic logic, visual design, brand identity, and associated materials are the exclusive property of Nuvra Limited. No subscription grants the Subscriber any ownership interest, licence beyond personal use access, or rights to the underlying technology.

8.2  The Vyntox name, logo, and associated branding are proprietary to Nuvra Limited. Subscribers may not use Nuvra’s or Vyntox’s trademarks, logos, or brand assets without prior written authorisation.

9. Service Availability and Modifications

9.1  Nuvra endeavours to maintain consistent availability of the Service but does not guarantee uninterrupted, error-free access. Scheduled maintenance, TradingView platform outages, or circumstances beyond Nuvra’s control may affect availability. Nuvra will use reasonable efforts to communicate planned maintenance in advance.

9.2  Nuvra reserves the right to modify, update, or enhance the features, signals, visual outputs, and algorithmic methodology of the Service at any time, including during an active subscription period. Such modifications form part of Nuvra’s continuous product development and do not entitle Subscribers to refunds or fee adjustments.

9.3  Nuvra reserves the right to discontinue the Service entirely upon no less than thirty (30) days’ written notice to active Subscribers, with a pro-rata refund of any prepaid subscription fees covering the period beyond the discontinuation date.

10. Account Termination by Nuvra

10.1  Nuvra may suspend or terminate a Subscriber’s access immediately and without prior notice where:

(a)  The Subscriber is in material breach of these terms or the Vyntox Terms of Service;

(b)  Nuvra has reasonable grounds to suspect fraudulent activity, unauthorised sharing, or misuse of the Service; or

(c)  Required to do so by applicable law or regulatory authority.

10.2  Where termination occurs under clauses 10.1(a) or 10.1(b), no refund of paid subscription fees shall be due.

11. Governing Law and Jurisdiction

11.1  This Subscription Policy is governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Abu Dhabi.

11.2  Any dispute arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts of Abu Dhabi, UAE, or referred to arbitration under the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC) rules at Nuvra’s election.

12. Amendments

12.1  Nuvra reserves the right to amend this Subscription Policy at any time. Material changes will be communicated to active Subscribers via email to their registered address no less than fourteen (14) days prior to taking effect. Continued use of the Service following the effective date of any amendment constitutes acceptance of the revised terms.
